Abstract
This study aims to analyze the legal provisions regarding the dismissal of directors and the right to a defense, as well as the judge's considerations regarding the fulfillment of the right to a defense in the Kolaka District Court Decision No. 32/Pdt.G/2020/PN.Kka. This study employs a normative legal research method using a statutory approach, a case-based approach, and a conceptual approach, while the legal materials are analyzed using a descriptive qualitative method. The results of the study indicate that the removal of directors is regulated under Articles 105 and 106 of Law No. 40 of 2007 on Limited Liability Companies, while the conduct of an electronic General Meeting of Shareholders (GMS) is recognized under Article 77(1) of the same law. In this case, the Panel of Judges determined that the right to a defense had been fulfilled because the Plaintiff had been given the opportunity to present a defense at the Extraordinary General Meeting of Shareholders (EGMS), even though the Plaintiff was not present and did not exercise that opportunity. The judges' reasoning was consistent with the provisions of Article 106 of the Limited Liability Companies Act regarding the provision of an opportunity to defend oneself; consequently, the dismissal of the Board of Directors was deemed to have been in accordance with applicable procedures, and the Plaintiff's claim regarding an unlawful act was found to be unfounded
