Abstract

In Indonesia, land acquisition is done by buying and selling. If later there will be a sale and purchase, then there is an agreement between the parties which will later be stated in the binding agreement for the sale and purchase of land. In this agreement, PT. Bumi Runting Lestari with buyers. This sale and purchase agreement was made unilaterally by PT. Bumi Runting Lestari where the buyer only needs to read and agree to the contents of the land sale and purchase agreement which is not made before a Notary. This study aims to determine the process of binding sale and purchase agreements and legal protection if one party defaults. The method used is an empirical juridical approach, in reviewing research problems, it is carried out by combining secondary and primary legal materials. This research uses descriptive research, where this research is expected to be able to clearly describe the legal protection between PT Bumi Runting Lestari and the Buyer. The results showed that the implementation of the land sale and purchase agreement process between PT. Bumi Runting Lestari and the Buyer have 3 stages, namely before the agreement occurs, when it occurs, and after the agreement occurs. PT. Bumi Runting Lestari entered into an agreement with the buyer privately in October 2021 which contained an article in which payment was given in cash in stages or with the conditions stated in the article of the agreement signed under the hand. The agreement creates a legal relationship between the two parties to carry out their rights and obligations. If one of the parties does not fulfill their obligations, then they must be responsible for the default.
