Abstract

The objectives of this study are: a) Knowing the form and content of the Hotaru Drnk franchise agreement; b) Knowing the validity of the legal relationship of the parties in the franchise agreement / Franchise Hotaru Drink Civil Law Perspective. The approach method used in this research is a doctrinal approach. This research is descriptive in nature, which is to provide a clear picture of accommodation regarding the legal requirements of an agreement according to agreement law and the principles surrounding an agreement which in this study focuses on the substance of the franchise / franchise agreement. Based on the results of research conducted by the author, the results show that the contents of the agreement between the franchisor and the franchisee have been stated in the form of the articles from article 1 to article 11 of this hotaru drink franchise agreement and made in writing, this is in accordance with article 1313 of the Civil Code. namely the agreement between the Franchisor / Franchisor hereby named BayuArdianto and Franschisee / hereby named Nadia Izzaty S. according to article 1 PP 11/1997, PP 42/2007 which has been signed by both parties. Franchise agreements are not specifically regulated in the Civil Code, but based on the principle of freedom of contract this is possible in accordance with article 1338 paragraph 1 of the Civil Code. This agreement has been made and complies with article 1320 of the Civil Code. There is an agreement between BayuArdianto and Nadia Izzaty S. On August 28, 2020 it was signed in Solo. Conducted by someone who is legally competent, namely the Franchisor / Franchisor hereby named BayuArdianto with Franschisee / Hereby named Nadia Izzaty S. The object of the agreement is contemporary milk mixed with flavors and which is certainly Halal. As a result, it is binding on the parties to carry out the franchise agreement / franchise agreement as promised in article 1338 of the Civil Code.
