Abstract

Buying and selling is a form of agreement that gives birth to an obligation or agreement to provide something, which in this case is manifested in the form of the delivery of goods sold by the seller and the delivery of money by the buyer to the seller. This study aims to determine the form and content of the sale and purchase agreement between producers and distributors in the Lina convection in Klaten, how the legal responsibility of each party in implementing the buying and selling agreement for the Lina convection in Klaten and what problems exist in the agreement between the manufacturer and distributor. in buying and selling Lina convection in Klaten. This research uses an empirical juridical approach. This type of research uses descriptive research. The results show that 1. The form and content of the sale and purchase agreement between the seller and the buyer at the Lina Convection in Klaten was made orally after an agreement was made between the seller and the buyer and was in accordance with the principles of consensualism and freedom of contract by making an oral agreement and payment due. The legal responsibility of the parties in carrying out the sale and purchase agreement for the lina convection in Klaten in the event of default or overmacht, The existence of legal responsibility in the sale and purchase agreement between the seller and the buyer occurs if the rights and obligations are not fulfilled by the parties, both rights and obligations are not fulfilled because of default, act against the law or overmacht. The problems that exist in the sale and purchase agreement for the Lina convection are the circulation of the money obtained is not fast and requires a large amount of capital and the seller feels the risk that the buyer does not carry out his obligations, namely to make payments for underwear products that have been purchased by the buyer.
