Abstract

This study aims to analyze the legal protection provided to farmers in the sale and purchase agreements of palm oil at PT Agrindo Sawit Mandiri, while also examining these transactions from the perspective of Islamic law. Methodologically, this study employs an empirical legal research method with a qualitative approach, utilizing direct interviews and literature reviews for data collection. This research uses the balance theory as an analytical foundation because the legal relationship between the farmers and the company is not yet in an equal position, especially in terms of bargaining power, price information, and the determination of the agreement's content, thus requiring a balance of rights and obligations of the parties. Field findings indicate that the transactions of Fresh Fruit Bunches (FFB) are predominantly conducted informally through verbal agreements. This unwritten practice places farmers in a subordinate position, making them highly susceptible to breaches of contract (default). Potential losses range from unilateral cancellations and delayed payments to opaque pricing and inconsistencies in FFB quality grading. To ensure stronger legal protection and an equitable relationship, these transactions must be formalized through written contracts, transparent transaction records, and definitive dispute resolution mechanisms such as deliberation, mediation, or formal litigation in accordance with prevailing laws. From an Islamic law perspective, the trading of palm oil is fundamentally permissible as long as it fulfills the pillars (rukun) and conditions (syarat) of the contract. Furthermore, the transactions must be executed based on mutual consent, honesty, justice, and transparency, strictly avoiding elements of gharar (uncertainty or deceit) and riba (usury).
