Abstract
The development of the fashion world in various parts of the world is increasingly diverse and rapid from year to year, including in the State of Indonesia, and the business of buying and selling various kinds of products also continues to grow from time to time. In this agreement for the sale of clothing, of course, there are two parties who agree, namely the UD Devita Collection as the party who entrusts the clothing products to be sold and sales as the party who sells them. Therefore, this study aims to find out a regulation of rights and obligations that exist in the product sale agreement, to determine the binding strength of the deed under the hand in the product sale agreement and to find out the legal responsibilities in the product sale agreement between UD Devita Collection and sales. . This research uses normative legal research because this research examines legal regulations, legal principles with a descriptive type of approach because it describes and interprets the data that has been obtained, which is described and described in a systematic, factual and accurate manner. In the sale of clothes, there must be a written agreement in the form of an agreement for the sale of products between UD Devita Collection and the sales, which must be signed together. the agreement letter is a deed under the hand. This agreement letter was made by UD Devita Collection and must be obeyed and approved by the sales party so that it has binding power as an underhand deed. The binding power of the deed under the hand is perfect, which means that the contents of this agreement are complete but the completeness can still be denied by the opposing party, therefore the party concerned must be able to prove its denial. The regulations used in the implementation of the agreement between UD Devita Collection and Sales are the Civil Code and the product sale agreement letter. In the agreement the agreement gives birth to a legal relationship between the two parties to carry out rights and obligations, if one party does not fulfill the rights and obligations then he must be accounted for based on default (Article 1243 of the Civil Code) and if one of the parties violates the applicable regulations in the transfer agreement. then he must be accounted for based on acts against the law (Article 1365 of the Civil Code).
