Abstract

CV or Commanditaire Vennootschap according to the KUHD is a company formed by lending money, which is established by a person or several companies who are jointly and severally responsible and one or more partners who act as money lenders. Then the CV registration according to the KUHD makes a notarial deed and then it is registered at the district court clerk, while the Minister of Law and Human Rights Regulation Number 17 of 2018 states that currently registration for the establishment of a CV has been carried out at the Ministry of Law and Human Rights. There are problems that arise when registering a CV which legal basis should be used and which one should be left out, there is an overlap between the KUHD and the Permenkumham. Because of the problem between choosing a legal basis, the author aims in this work to research and understand which one is used first as the basis for CV registration.
